Terms of service

These terms govern your use of toobusyto. By creating an account you agree to them. If you don’t agree, don’t use the service.
1. What we are
toobusyto is an online marketplace connecting Customers who need short-term help with independent Partners who want to earn by providing that help. Partners are independent contractors; toobusyto is not the employer, agent, or representative of Partners and does not direct, supervise, or control the performance of Gigs. The agreement for the work itself is between the Customer and the Partner.
Partners choose which Gigs to accept in their sole and absolute discretion, and toobusyto makes no representation or warranty, express or implied, that any posted Gig will be accepted by a Partner. If no Partner accepts a posted Gig within the applicable expiry window (currently 48 hours, subject to category-specific adjustment), the Gig is cancelled automatically and the authorization on the Customer’s payment method is released in full. Release of the authorization is the Customer’s sole and exclusive remedy for non-acceptance.
2. Eligibility
You must be at least 18 years old and legally able to enter a contract in Canada. Partners must be legally eligible to work in Canada and hold a Canadian bank account for payouts.
3. Partner identity verification
Before a Partner can apply to any Gig, they must complete identity verification through Stripe Identity, including submission of a valid government-issued photo ID. The verification result (verified, requires re-submission, or canceled) is written to the Partner’s profile on toobusyto. Processing, retention, and use of ID documents is governed by Stripe’s privacy policy (stripe.com/privacy); toobusyto does not retain copies of your ID documents. A Partner whose verification has not been completed, or whose previous verification has expired or been revoked, will not be permitted to apply to Gigs. 4. Payments, fees, and taxes
- When a Customer posts a Gig, the total (Gig budget + service fee of 13%, minimum CAD $2.50, plus applicable GST/HST where we are a registrant) is authorized on the Customer’s payment method — not charged. No money moves from the Customer to toobusyto at posting time.
- When the Customer accepts a Partner, the authorization is captured. Funds are then held by Stripe until the Customer confirms the Gig is complete, at which point the Gig budget is released to the Partner.
- If no Partner accepts within the expiry window, the authorization is released in full and no money is charged.
- GST/HST on our service fee. Once toobusyto is registered for GST/HST with the Canada Revenue Agency, we collect and remit GST/HST on our service fee based on the Customer’s place of supply (their province on file). Applicable tax is shown as a separate line on every receipt. We do not collect provincial sales tax (PST) or Quebec sales tax (QST) on our service fee at this time. Tax collection on the Gig budget itself (the amount paid to the Partner) is the Partner’s responsibility if and when their own tax registration requires it.
- Platform and processing fees are consideration for access to the toobusyto marketplace and technology platform. They are not payment for the performance of Gigs and do not guarantee that any posted Gig will be accepted.
5. Cancellations & refunds
- Customer cancels before a Partner is accepted: full release of the authorization. No charge.
- Customer cancels within 10 minutes of accepting a Partner: a small cancellation fee (currently CAD $5) is captured; the remainder of the authorization is released.
- Customer cancels more than 10 minutes after accepting: self-serve cancellation is unavailable. Email support@toobusyto.ca and we’ll review your situation.
- Partner cancels at any stage: full refund to the Customer.
- If a dispute arises during or after a Gig, email support@toobusyto.ca with the Gig ID and details. We may issue full or partial refunds at our discretion.
6. Your responsibilities
- Provide accurate information and keep your account secure.
- Don’t use toobusyto for anything illegal, unsafe, or deceptive.
- Treat the other party with respect — harassment, discrimination, and threats get your account suspended.
7. Partner-specific terms
- You are an independent contractor, not an employee of toobusyto.
- You must complete Stripe Identity verification before applying to any Gig.
- You’re responsible for your own taxes (we’ll issue a T4A when required).
- If and when your service income requires GST/HST registration, charging and remitting GST/HST on the Gig budget is your responsibility.
- You must carry any insurance or licences your work legally requires.
8. Communications & marketing emails
We will send you transactional messages (payment receipts, identity verification results, gig updates, account and security notices) whenever they are needed to service your account. You may receive marketing messages (promotions, new-feature announcements) only where you have given consent under Canada’s Anti-Spam Legislation (CASL). Every marketing message we send includes an unsubscribe link and our physical business address. You can withdraw consent at any time; unsubscribing takes effect within 10 business days and generally immediately.
9. Suspension & termination
We can suspend or terminate your account if you breach these terms, if we have a reasonable suspicion of fraud, or if we’re required to by law. You can close your account any time from the app or via Delete account.
10. Limitation of liability
toobusyto is provided as-is. To the maximum extent permitted by law, we’re not liable for any indirect, incidental, or consequential damages. Our total liability for any claim is capped at the total service fees you’ve paid us in the 12 months before the claim.
11. Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there.
12. Changes
We may update these terms from time to time. Material changes will be announced in-app. Continuing to use toobusyto after changes take effect means you accept them.
